Terms of Service
These Terms of Service ("Terms") govern your access to and use of tonopahenergycenter.com (the "Site"), operated by Tonopah Energy Center LLC ("TEC," "we," "us," or "our"). By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
1. About the Site
TEC operates the Crescent Dunes Solar Energy Project, a concentrated solar power facility near Tonopah, Nevada. The Site describes the facility, its technology, and our operations, and provides a means to contact us. It is informational.
2. No Offer of Securities
Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any security or interest in TEC, SOLC, or the facility, and nothing on the Site is investment advice. No such offer will be made except through definitive documentation, to eligible persons, and in compliance with applicable securities laws. Any expression of interest submitted through the Site creates no obligation on either side and is not an investment commitment.
3. No Professional Advice, and Forward-Looking Statements
Information on the Site relating to plant operations, generation technology, engineering, safety, or regulatory matters is general in nature and is not professional, engineering, legal, financial, or safety advice. Do not rely on it in place of advice from a qualified professional for your specific circumstances.
Descriptions of the facility, its capacity, its storage, and its performance are provided as general information. Stated capacity figures are nameplate ratings and do not represent current or expected output. Statements about future operations, performance, or plans are forward-looking, involve risks and uncertainties, and are not guarantees. Actual results may differ materially, and we undertake no obligation to update them.
4. Permitted Use
You may use the Site for lawful purposes related to learning about, evaluating, or communicating with TEC. You agree not to:
- use the Site in violation of any applicable law or regulation;
- attempt to gain unauthorized access to the Site, its systems, or any connected network;
- interfere with or disrupt the Site's operation, security, or availability;
- use automated means to scrape, harvest, or collect information from the Site, except for standard search-engine indexing;
- submit false, misleading, or fraudulent information, or impersonate any person or entity;
- transmit malware or other harmful code; or
- use the Site or its contents for unsolicited commercial communications.
5. Intellectual Property
The Site and its contents, including text, graphics, logos, photographs, facility imagery, layout, and design, are owned by TEC or its licensors and are protected by copyright, trademark, and other intellectual-property laws. The Tonopah Energy Center name and logo are our marks and may not be used without our prior written permission.
You may view and print Site content for your own internal, non-commercial reference. Any other use, including reproduction, distribution, modification, or republication, requires our prior written consent.
Some imagery may depict third-party equipment or third-party marks, which remain the property of their respective owners.
6. Submissions and Communications
Information you submit through the Site, including contact-form inquiries, is handled as described in our Privacy Policy.
Do not send confidential, proprietary, or trade-secret information through the Site.
Submissions made through the Site are not subject to any obligation of confidentiality unless we have signed a separate written confidentiality agreement with you. Please transmit anything sensitive by another agreed method.
Submitting an inquiry does not create a business relationship.
If you send us suggestions, feedback, or ideas about our business or the Site, you agree we may use them without restriction, obligation, or compensation.
7. Site Security and Facility Security
The Site is informational and provides no access to, or control over, any facility system. Attempts to use the Site to obtain access to operational, control, or safety systems are strictly prohibited and may be reported to law enforcement.
8. Third-Party Sites and Services
The Site may link to third-party websites or resources. We do not control them, do not endorse their content, and are not responsible for them. Accessing them is at your own risk and subject to their terms.
9. Disclaimers
The Site and its contents are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Site will be uninterrupted, timely, secure, or error-free, or that its content is accurate, complete, or current. Content may be changed or removed at any time without notice.
10. Limitation of Liability
To the maximum extent permitted by law, TEC and its officers, managers, employees, and agents will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, data, business, or goodwill, arising out of or relating to your use of or inability to use the Site, whether based in contract, tort, negligence, strict liability, or any other theory, and even if advised of the possibility of such damages.
Our total aggregate liability arising out of or relating to the Site or these Terms will not exceed one hundred U.S. dollars (US $100.00).
Nothing in these Terms limits liability that cannot be limited under applicable law. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
This section applies to the Site only. It does not limit, modify, or affect the rights and obligations under any separate written agreement between TEC and a counterparty, vendor, or contractor.
11. Indemnification
You agree to indemnify and hold harmless TEC and its officers, managers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Site, your violation of these Terms, or your violation of any law or the rights of any third party.
12. Governing Law and Venue
These Terms are governed by the laws of the State of Nevada, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Nye County, Nevada, and you consent to the jurisdiction of those courts.
13. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted on this page with a revised effective date, and applies to use of the Site after that date. Please review periodically.
14. Severability and Entire Agreement
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver of it. These Terms, together with the Privacy Policy, are the entire agreement between you and TEC regarding the Site.
